Terms of Service

1. Introduction & Agreement to Terms
These Terms of Service (“Terms”) are a legally binding agreement between you (“User,” “you,” or “your”) and Mindzone Technologies LLC, a limited liability company incorporated under the laws of the United Arab Emirates (“Company,” “we,” “us,” or “our”). They govern your access to and use of the PingRoom application, the separate PingRoom Agents application, the web application and website at pingroom.io, and our related APIs, SDKs, command-line and Model Context Protocol interfaces, Managed Agent runtime, and other services (collectively, the “Service”).
By downloading, installing, accessing, or using either application or any other part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
These Terms apply to all visitors, users, and others who access or use the Service, whether as a guest user, an authenticated account holder, or on behalf of an organization.
2. Definitions
These definitions apply to the Terms:
- “Service” means PingRoom, PingRoom Agents, the web application and website at pingroom.io, and all associated backend services, APIs, SDKs, interfaces, Managed Agent runtime, and infrastructure operated by Mindzone Technologies LLC.
- “User” means any individual or organization that accesses or uses the Service, including guest users, authenticated users, room creators, room members, and users who create, connect, configure, or run agents. If an individual uses the Service on behalf of an organization, “you” also includes that organization.
- “Room” means a virtual space created within the Service that is identified by a unique invite code, through which authorized members can send and receive push notifications.
- “Room Creator” means the User who creates a Room and has administrative control over its settings, members, and configuration.
- “Room Member” means any User who has joined a Room via an invite code and is eligible to receive notifications broadcast within that Room.
- “Notification” means a push notification message delivered through the Service to a User’s device via Apple Push Notification service (APNs) or Firebase Cloud Messaging (FCM).
- “Quick Action” means a customizable numbered action button configured within a Room that triggers a predefined notification when activated.
- “Webhook” means an HTTP callback endpoint configured within a Room that allows external systems and third-party applications to trigger notifications programmatically.
- “Location Trigger” means a device-side geofencing feature that triggers a notification when a User’s device enters or exits a defined geographic area. PingRoom stores the configured center, radius, and trigger settings, while the User’s device evaluates the boundary locally.
- “Location Ping” means a Notification to which a User deliberately attaches a precise place, including its latitude and longitude and any label or address.
- “Time Trigger” means a scheduled automation that broadcasts notifications at predetermined times or intervals.
- “Device Token” means the unique identifier assigned by APNs or FCM to a specific device installation, used solely for the purpose of delivering push notifications.
- “Guest Account” means a lightweight account created through fast-registration that provides limited functionality without email verification.
- “Content” means any text, data, file, image, information, or other material submitted, posted, generated, or transmitted through the Service, including profiles, contact cards, room information, notifications, structured data, attachments, agent listings, and Agent Content.
- “Connected Agent” means an externally hosted application, bot, script, or artificial-intelligence agent that you authorize to access the Service on your behalf, including through OAuth, Model Context Protocol (MCP), or an API we make available.
- “Managed Agent” means an AI-enabled agent that you define through PingRoom Agents and that our Managed Agent runtime executes using PingRoom AI or a Model Provider connection you configure. A Managed Agent may run manually or from an enabled schedule, signed webhook, or watched-Room trigger and may request supported tools.
- “Model Provider” means a third-party model API provider or compatible API host used for Managed Agent runs, whether selected by Mindzone for PingRoom AI or connected by you with your own credential.
- “Agent Content” means agent names, purposes, instructions, model settings, task inputs, builder history, trigger inputs, context, tool settings, arguments and results, run events, approvals, questions, handoffs, usage records, and model outputs.
3. Eligibility
You must be at least sixteen (16) years of age to use the Service. Parent or guardian consent does not make a person under 16 eligible. By using the Service, you represent and warrant that you meet this age requirement. If you are under the age of 18 (or the age of majority in your jurisdiction), you may use the Service only where applicable law permits and with parent or legal guardian consent where required.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and that the organization agrees to be bound by them.
We use this global minimum in part because UAE child-digital-safety rules require age assurance and, where the social-media rules apply, enhanced safeguards for users aged 15 to under 16. The Service does not offer a reduced-access account tier for that age group. We reserve the right to use proportionate, reliable age-assurance measures rather than relying only on self-declaration and to request verification of age or authority. We may limit, suspend, or terminate access where reliable age assurance is unavailable or a User does not meet these eligibility requirements.
4. Account Registration
The Service uses one PingRoom account across PingRoom and PingRoom Agents and offers two account types:
- Guest Accounts: You may begin using the Service through a fast-registration process that creates a guest account without requiring email verification. Guest accounts have limited functionality and may be subject to additional restrictions we set.
- Authenticated Accounts: Guest users may upgrade to a fully authenticated account by providing an email address and completing a one-time password (OTP) verification process, or by signing in with Apple, Google, or Telegram. PingRoom accounts have no password of their own. Authenticated accounts have access to a broader range of Service features, subject to plan and feature availability.
Some features require an authenticated account. On supported Apple devices, PingRoom Agents may let you sign in with an existing PingRoom session. It reads the shared session to identify and validate your account and, only after you choose to continue, stores a copy in PingRoom Agents’ private app storage. Signing out of one application does not delete the shared account or necessarily sign you out of the other application. Deleting the account affects both applications.
You are responsible for maintaining the confidentiality of your account credentials, model credentials, integration secrets, and active sign-in sessions, and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
You agree to provide accurate, current, and complete information during the registration process and to keep such information up to date. We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information.
Each User may maintain only one account. Creating multiple accounts to circumvent restrictions, bans, or usage limits is strictly prohibited.
5. Use of Service
PingRoom enables Rooms and real-time notification broadcasting through the following core features:
- Creating Rooms: Users may create Rooms, each identified by a unique invite code. Room Creators manage the Room’s settings, members, and notification configuration.
- Joining Rooms: Users may join existing Rooms by entering a valid invite code. By joining a Room, you consent to receive push notifications from that Room.
- Sending Notifications: Authorized Room members may broadcast push notifications to all or selected members of a Room using the in-app interface.
- Quick Actions: Room Creators may configure customizable numbered action buttons within a Room. Quick Actions enable rapid notification dispatch with predefined content.
- Webhooks: Rooms may be configured with webhook endpoints that allow external applications and services to trigger notifications programmatically by sending HTTP requests to the webhook URL.
- Location Triggers: Users may configure device-side geofencing that automatically triggers notifications when their device enters or exits a defined geographic boundary. PingRoom stores the configured boundary and trigger settings; the User’s device evaluates crossings locally and sends the saved trigger identifier when one occurs.
- Location Pings: Users may deliberately attach a precise place to a Notification. The place is stored with and disclosed to the same recipients and enabled destinations as that Notification.
- Time Triggers: Users may set up scheduled triggers that automatically broadcast notifications at specified times or recurring intervals.
PingRoom Agents provides the following features through the same account:
- Managed Agent Setup: Users may create, review, edit, activate, pause, and archive Managed Agents; configure their purpose, instructions, model settings, and limits; use an AI-assisted builder; configure supported tools and schedule, signed-webhook, or watched-Room triggers; and review immutable version history.
- Model Access: Users may use PingRoom AI, where Mindzone supplies the connection to a disclosed third-party Model Provider, or connect and verify a compatible Model Provider using a credential they are authorized to use.
- Runs, Triggers & Tools: Users may start and cancel supported runs or let an active agent wake from a configured trigger. During a run, the Model Provider may request supported tools that read or change PingRoom resources within configured permissions and limits. Some sensitive actions pause for an authorized person to approve or reject them; other permitted actions may run automatically. Users can review saved tasks, trigger inputs, model messages, tool arguments and results, approvals, outputs, event timelines, errors, and token usage.
- Agent Access: Users may review and revoke Connected Agents and respond to supported questions, approvals, and handoffs associated with their account.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. This license does not include the right to sublicense, resell, or redistribute the Service.
Room Management: To keep the Service operating reliably, we reserve the right, at our discretion and in accordance with our operational policies, to transfer ownership of a Room, archive or restrict a Room, or make Rooms inaccessible or delete them when they have been inactive for an extended period or whose Room Creator’s account has been deleted or terminated. Members, configuration, attachments, and history may be deleted, de-identified, or retained but made inaccessible as described in our Privacy Policy. Where reasonably practicable, we will provide notice before deleting a Room that still has active members.
6. Subscriptions & Payments
The Service includes free features and may offer paid features through PingRoom Pro or another plan. The purchase screen identifies the products, features, billing period, price, and usage limits included in the applicable offering. Access to PingRoom Agents does not create a separate paid subscription unless a purchase screen expressly says otherwise.
- Free Trial: We may offer a free trial where shown on the purchase screen. Unless you cancel before the deadline disclosed by the purchase channel, the trial automatically converts to a paid subscription and that channel charges the then-current price. Eligibility and length may vary.
- Purchase Channels: Mobile subscriptions may be sold through the Apple App Store or Google Play. Browser subscriptions are processed by Stripe. Purchases are subject to the applicable channel’s terms and payment policies. We do not receive or store your full payment-card number.
- Auto-Renewal & Cancellation: Subscriptions automatically renew unless cancelled by the deadline shown by the purchase channel. Manage or cancel an App Store or Google Play subscription through the corresponding store account and a web subscription through the Stripe customer portal. Unless the purchase channel states otherwise, cancellation takes effect at the end of the current billing period. Deleting your PingRoom account does not cancel an active subscription.
- Refunds: Purchases are non-refundable except where required by law or permitted by the applicable purchase channel. App Store and Google Play refund requests are handled under their respective policies. For a web purchase, contact us using the information in Section 24.
- Redeem & Promo Codes: Any redeem or promotional codes we issue are non-transferable, have no cash value, and may be revoked or invalidated if used in connection with abuse, fraud, or a violation of these Terms.
- Price Changes: We may change subscription pricing. Any change applies as permitted by the applicable purchase channel and law, and the channel will notify you where required.
- Expiry & Downgrade: If a subscription is cancelled, paid access normally continues until the end of the paid period. If an entitlement cannot be confirmed, we may provide a short verification grace period, but grace is not guaranteed and may end without additional notice. After a confirmed lapse, Pro-only automations and Managed Agent triggers may be disabled while their configurations are retained under our Privacy Policy so they can be re-enabled after renewal. We do not guarantee that every paid configuration can later be restored, and you remain responsible for activity that occurs during an applicable grace period.
- Model Provider Charges: Charges incurred under a Model Provider credential or other third-party account you connect are separate from PingRoom fees and are your responsibility. Any token or cost figures displayed by the Service are estimates and may differ from the provider’s bill.
7. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws and regulations, including but not limited to the laws of the United Arab Emirates. You shall not use the Service to:
- Send unsolicited, unauthorized, or spam notifications to Room members or abuse the notification system in any manner that disrupts the experience of other Users.
- Harass, threaten, intimidate, or bully any individual through notifications or any other use of the Service.
- Transmit content that is unlawful, defamatory, obscene, pornographic, hateful, discriminatory, or otherwise objectionable.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity, including by presenting an AI-generated message, Managed Agent, or Connected Agent as human. You may not remove, hide, falsify, or spoof an AI or agent provenance label or machine-readable source marker added by the Service.
- Use an agent to conduct unauthorized surveillance, invade a person’s privacy, obtain or expose credentials, or infer highly sensitive information without lawful authority. You also may not process personal data without providing required notices or having the rights, permissions, consents, safeguards, and lawful basis required for that processing.
- Use a Managed Agent or Connected Agent to make or materially support an automated decision that produces legal or similarly significant effects in employment, housing, credit, insurance, healthcare, education, legal services, or another consequential field unless the use is lawful, appropriately disclosed, and subject to meaningful human review.
- Generate or distribute real or synthetic child sexual abuse material or non-consensual intimate content; facilitate child exploitation, fraud, scams, or self-harm; create deceptive official documents; or generate other prohibited content.
- Exploit the notification system for commercial advertising or promotional purposes without our prior written consent.
- Attempt to gain unauthorized access to any portion of the Service, other Users’ accounts, or any systems or networks connected to the Service.
- Use automated scripts, bots, scrapers, or other automated means to access or interact with the Service, except through officially provided APIs, Connected Agent interfaces, and webhook integrations and within their documented limits.
- Interfere with or disrupt the integrity, performance, or availability of the Service, including overloading servers, engaging in denial-of-service attacks, or exploiting vulnerabilities.
- Circumvent or attempt to circumvent any rate limits, access controls, security measures, or other restrictions imposed by the Service.
- Use the Service to distribute malware, viruses, or any other malicious code or content.
- Create Rooms or configure webhooks for the purpose of facilitating illegal activities or violating the rights of others.
- Use a Model Provider, Connected Agent, integration, or other third-party service in violation of its terms, or provide a credential, account, data source, or system that you do not have authority to use or connect.
- Abuse the fast-registration (guest account) system by creating multiple accounts to evade bans, restrictions, or usage limits.
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including but not limited to removing Content, suspending or terminating accounts, and reporting violations to law enforcement authorities.
Rate Limiting & Anti-Abuse: To protect the Service and its Users, we reserve the right, at any time and without notice, to set, enforce, and change usage limits; to rate-limit, throttle, or queue requests; to cap the number, frequency, or size of requests, runs, events, or notifications that any Room, account, webhook, Connected Agent, or Managed Agent may initiate, send, or process; and to block, suspend, or restrict any traffic, endpoint, account, or integration that we determine, in our sole discretion, to be abusive, excessive, fraudulent, unauthorized, or otherwise harmful to the Service or its Users.
Export Controls & Sanctions: You may not use the Service in violation of any applicable export control, sanctions, or trade laws. You represent that you are not located in, and are not a national or resident of, any country or territory subject to comprehensive trade sanctions, and that you are not identified on any restricted-party, denied-persons, or sanctions list.
8. Push Notifications & Device Tokens
This Section 8 applies to the PingRoom application. PingRoom Agents does not register for or deliver push notifications at present. PingRoom sends notifications directly to Apple Push Notification service (APNs) for iOS devices and Firebase Cloud Messaging (FCM) for Android devices without an additional push-notification aggregator.
Consent to Receive Notifications: By enabling push notifications on your device and joining a Room, you expressly consent to receive push notifications from the Service. Notifications may be triggered by other Room members, Quick Actions, webhooks, location triggers, or time triggers associated with the Rooms you have joined, as well as Connected Agents you or other authorized members configure and Managed Agents operating from schedules, signed hooks, watched-Room activity, approved actions, or other enabled tools.
Device Token Collection: When you enable push notifications, the Service collects your device’s native push token (APNs token on iOS, FCM token on Android). This token is the sole mechanism by which we deliver notifications to your device. Device tokens are stored securely and are used exclusively for the purpose of push notification delivery.
Token Management: Device tokens are automatically refreshed and maintained by the Service. Invalid or expired tokens are purged promptly. We store associated metadata including device platform and app version solely for delivery optimization.
Opting Out: You may opt out of receiving push notifications at any time through any of the following methods:
- Disabling push notifications for PingRoom in your device’s system settings.
- Leaving individual Rooms to stop receiving notifications from those Rooms.
- Uninstalling the PingRoom application from your device.
Disabling push notifications prevents real-time delivery, a core PingRoom function.
9. Location Features
This Section 9 applies only to the PingRoom application. PingRoom offers deliberate Location Pings and device-side location triggers.
Location Pings: When you choose a place and send the Ping, you instruct us to store its precise coordinates and optional label or address with the Notification and disclose it to the selected Room recipients and enabled destinations. You represent that you have the right to share that place and will not use Location Pings to expose another person's location, stalk, surveil, harass, or create a safety risk. Opening, previewing, geocoding, navigating to, or sharing a place may send it to the map, navigation, geocoding, or sharing provider you choose under that provider's terms.
Location Triggers: PingRoom uses your device’s native geofencing capabilities to send a saved Notification when you enter or exit a defined geographic area.
Stored Configuration and Device-Side Evaluation: PingRoom stores the name, center coordinates, radius, transition type, and associated Room for each location trigger so it can sync and be edited or deleted. Your operating system evaluates the boundary locally. When a geofence event fires, the device sends the saved trigger identifier to our server to initiate the notification; it does not send your current GPS position or travel path. Because the server already stores the saved center, radius, and transition type, the event tells us that the device entered or exited that saved area. PingRoom does not receive a continuous location feed, the GPS position at the time of the event, or an automatically recorded travel path. This statement does not apply to a precise place you deliberately share in a Location Ping.
User Control: Location triggers are optional. You choose whether to grant PingRoom location access, which geofences to configure, and whether to allow background access. You may disable location triggers by:
- Removing individual location triggers within the app.
- Revoking location permissions for PingRoom in your device’s system settings.
- Disabling location services entirely on your device.
Operating System Permissions: Location triggers require your explicit permission to access location services, including background location access on certain platforms. These permissions are managed by your device’s operating system (iOS or Android) and are subject to the respective platform’s terms and privacy policies.
10. Webhooks, Model Providers & Third-Party Integrations
PingRoom allows Room Creators to configure webhook endpoints that enable external applications and services to trigger notifications within a Room. Each webhook is assigned a unique code and, optionally, a secret for authentication.
User Responsibility: You are solely responsible for:
- The security and confidentiality of any webhook code, webhook secret, API key, access token, or other credential associated with your account or any integration you configure. You must not share these credentials with unauthorized parties or expose them publicly (for example, by committing them to a public code repository), and you are solely responsible for any activity resulting from their disclosure.
- All notifications triggered through your webhook endpoints, regardless of whether they were initiated by you or by a third-party system you have connected.
- Ensuring that any third-party applications or services connected to your webhooks comply with these Terms and all applicable laws.
- Configuring appropriate rate limits and access controls on your side for any systems that interact with PingRoom webhooks.
No Endorsement: PingRoom does not endorse, control, or assume responsibility for any third-party service, application, or integration connected to the Service via webhooks. Any interaction between you and a third-party service is governed solely by the terms and policies of that third party.
We reserve the right to disable or restrict webhook endpoints that are found to be in violation of these Terms or that are being used to send abusive, excessive, or unauthorized notifications.
Outgoing Webhooks & Channel Mirroring: You may connect a Room to external destinations so that notifications are forwarded out of the Service. This includes outgoing webhooks (which deliver notification events to a URL you specify) and chat channel mirroring to third-party platforms such as Telegram, Slack, Discord, and Microsoft Teams. When you enable one of these connections, you direct us to transmit the relevant notification content and metadata to that destination. You are responsible for ensuring you have the right to send that content to the destination and that doing so complies with the destination’s terms and all applicable laws. We are not responsible for how a third party handles data once it leaves the Service.
Connected Agents: The Service lets you authorize Connected Agents to act through your account within the scopes you grant and the Rooms and resources your account may access. You are responsible for the Connected Agents you authorize and for their activity on your behalf, and you should grant access only to agents and operators you trust. Agent operators are independent third parties whose conduct we do not control or endorse. We may require Connected Agents to authenticate, enforce rate limits and usage quotas, monitor agent and API activity for security and abuse, and limit, suspend, or revoke agent access at any time.
Managed Agents & Model Providers: You may choose PingRoom AI or add your own compatible provider connection. With PingRoom AI, Mindzone selects and supplies the third-party Model Provider connection. Before that provider first receives your data, the App identifies it, explains the categories that may be shared, and asks for your permission. If you add your own credential, you direct us to store it in encrypted form, verify the supported API host, and use it server-side for your configured runs. The full credential is not returned after it is saved.
A builder or run may send the Model Provider your description and builder history, a limited list of Room names and IDs, agent instructions and settings, manual tasks, schedule or signed-webhook inputs, watched-Room Content, relevant Room or account context, earlier model messages, tool arguments and results, approval context, and request metadata. Background transfers may continue while a trigger remains enabled. The provider returns model and tool requests to our runtime. We store run messages, tool activity, approvals, events, errors, and token usage as described in the Privacy Policy.
For PingRoom AI, Mindzone is responsible for selecting and overseeing its provider as required by law. For a provider or API host you choose, that independent provider's terms, privacy, retention, content, training, and charges apply. Removing a BYOK connection deletes its stored secret and prevents new runs through it. Withdrawing PingRoom AI permission, pausing the agent, or disabling triggers stops future transfers through that path but does not retract data already processed. Related non-secret metadata and prior run history may remain under our Privacy Policy.
Tool Authority & Approvals: A Managed Agent may request supported tools that read or change PingRoom resources within its configured permissions and limits. Actions designated as sensitive pause for an authorized person to approve or reject; other permitted tools may run without an additional prompt. An approval is authorization for the displayed action and does not make model output accurate or safe. You are responsible for configuring least-privilege access, reviewing pending actions, monitoring triggered runs, and pausing an agent or trigger when it should no longer act.
Authority, Data & Permissions: You represent that you have authority to connect every Room, account, credential, Model Provider, system, dataset, and other resource you make available through the Service. You must provide required notices and have all rights, permissions, consents, safeguards, and lawful bases needed to process personal data or Content concerning another person. You must not grant an agent broader access than you are authorized to grant, and you are responsible for reviewing and limiting scopes and permissions.
Personal Rooms & Contact Cards: The Service lets you create a personal Room with a public handle and a contact card containing links and details you choose to share (such as social handles or a phone number). Information you place on a contact card or a public personal Room may be visible to other users and, where you share a public handle, to anyone with the link. You are responsible for the information you choose to publish and should not include details you do not wish to be seen.
Responsibility for Triggered Actions: You are solely responsible for any actions, requests, deliveries, or outcomes triggered by webhooks, integrations, automations, Quick Actions, location or time triggers, Connected Agents, Managed Agent tools or triggers, or other third-party services that you connect to or configure on the Service, including any consequences of those actions for you or for third parties. Any action performed within permissions you granted to a Connected Agent, Managed Agent, or integration is treated as an action you authorized, except to the extent the Service failed to enforce a promised approval or permission control.
Third-Party Systems: We are not responsible for the content, accuracy, availability, security, or operation of any third-party system, service, or destination connected to or through the Service, including webhooks, APIs, integrations, automation platforms, Connected Agents, Model Providers, chat platforms, or other external services. Your use of any such third party is governed by that third party’s own terms and policies.
11. Intellectual Property
The Service and its original content (excluding Content provided by Users), features, and functionality are and shall remain the exclusive property of Mindzone Technologies LLC and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of the United Arab Emirates and international jurisdictions.
The PingRoom and PingRoom Agents names, logos, and all related names, product and service names, designs, and slogans are trademarks of Mindzone Technologies LLC. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.
Nothing in these Terms grants you any right, title, or interest in the Service or any of our intellectual property, except for the limited license expressly granted in Section 5. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, decompile, reverse engineer, or transmit any portion of the Service without our prior written consent.
12. User & Agent Content; AI Outputs
You retain any ownership rights you have in Content you submit, post, or transmit through the Service, including notifications, Room data, attachments, profile information, and Agent Content that you provide as input.
By submitting Content through the Service, you grant Mindzone Technologies LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display that Content only as needed to provide, secure, maintain, and support the Service; deliver it to the destinations and integrations you select; and make the Model Provider requests you direct. This license may be sublicensed only to service providers and destinations involved in those purposes. It ends when the Content is deleted from our active systems, subject to the retention described in our Privacy Policy.
Rights in Model Output: As between you and the Company, and to the extent permitted by applicable law, we do not claim ownership of output generated for you by a Managed Agent and assign to you any rights we may have in that output. This does not affect rights held by a Model Provider or another person. AI-generated output may not qualify for intellectual property protection, may not be unique, and the same or similar output may be generated for others. You are responsible for determining whether you may lawfully use, publish, or rely on it.
AI Output Limitations & Human Review: Model output is probabilistic and may be inaccurate, incomplete, outdated, biased, offensive, unsafe, or inconsistent with your instructions. AI Transparency & Reporting: Managed-Agent Pings display an AI-generated label and carry machine-readable provenance identifying the agent, run, version, and provider on supported PingRoom surfaces. External exports and third-party destinations may not preserve that label. You may not remove, obscure, or spoof provenance markers. You must clearly disclose AI involvement whenever you distribute model output outside a surface where the Service label is visible or where applicable law otherwise requires disclosure. These measures are designed to support applicable AI transparency duties, including Article 50 of the EU AI Act where it applies, but do not replace any additional notice or labeling duty that applies to your use or external distribution. Recipients may report offensive, deceptive, unsafe, or unlawful AI output using the applicable in-App Report control or by contacting mahdi@mindzone.tech. We may preserve and review the reported Content and related run records as necessary to investigate and enforce these Terms. Our Privacy Policy describes the bounded retention and account-deletion treatment for those reports.
User Responsibility: You are solely responsible for all Content you create, transmit, or distribute through the Service. You represent and warrant that:
- You have all necessary rights and permissions to submit and distribute the Content and to disclose it to the recipients, Model Providers, and integrations you select.
- Your Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
- Your Content complies with the Acceptable Use Policy set forth in Section 7 and all applicable laws and regulations.
We are not obligated to pre-screen all Content, including model output. We may use automated and human review to protect the Service, respond to reports, enforce these Terms, or comply with law, and may remove or disable access to Content that violates these Terms.
13. Service Availability & Modifications
We do not guarantee uninterrupted, error-free, or secure access. Maintenance, updates, technical issues, and circumstances beyond our control may interrupt the Service.
We reserve the right, at our sole discretion, to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, including but not limited to:
- Adding, modifying, suspending, discontinuing, or removing any feature, functionality, integration, API, Connected Agent capability, or Managed Agent capability.
- Implementing maintenance windows during which the Service may be unavailable.
- Requiring minimum app version updates, which may be enforced through the Service’s configuration system.
- Enabling maintenance mode, during which access to the Service may be temporarily restricted.
We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, whether temporary or permanent.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THE UNITED ARAB EMIRATES:
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL MINDZONE TECHNOLOGIES LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to or use of, or inability to access or use, the Service.
- Any conduct or content of any third party on the Service, including any defamatory, offensive, or unlawful content transmitted by other Users.
- Any notifications sent through the Service, including notifications triggered by webhooks, location triggers, time triggers, or Quick Actions.
- Unauthorized access to or alteration of your transmissions, data, or account.
- Delayed, failed, or undelivered push notifications due to device settings, network conditions, platform restrictions (APNs or FCM), or any other cause.
- Model Provider errors or outages, inaccurate or non-unique AI output, or decisions or actions taken in reliance on AI output.
- The acts, omissions, content, availability, or security of any Connected Agent, Model Provider, integration, or other third-party service.
- The loss, corruption, disclosure, or unavailability of Agent Content, a Managed Agent configuration, a run, or a Model Provider credential, except to the extent liability cannot lawfully be excluded.
- Any other matter relating to the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Mindzone Technologies LLC, its directors, officers, employees, agents, partners, suppliers, and affiliates from and against any and all claims, demands, damages, losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
- Your use of or access to the Service.
- Your violation of these Terms, any applicable law, or any rights of a third party.
- Any Content you submit, post, or transmit through the Service, including notification messages, webhook-triggered content, Agent Content, and model inputs or outputs you choose to use or distribute.
- Any Connected Agent, Model Provider, Model Provider credential, or third-party integration you configure, authorize, or enable through the Service.
- Any instruction, decision, communication, or action you take or permit based on AI output.
- Your negligence or willful misconduct in connection with your use of the Service.
This indemnification obligation shall survive the termination of these Terms and your use of the Service.
16. Termination
Termination by Us: We may, at our sole discretion and without prior notice or liability, suspend or terminate your account and access to the Service, in whole or in part, for any reason, including but not limited to:
- Violation of these Terms or the Acceptable Use Policy.
- Conduct that we determine, in our sole discretion, is harmful to other Users, the Service, or Mindzone Technologies LLC.
- Extended periods of inactivity.
- Requests by law enforcement or government agencies.
- Discontinuation or material modification of the Service.
Termination by You: You may terminate your account at any time by deleting your account through the in-app settings, using our account-deletion page, or by contacting us. Because PingRoom and PingRoom Agents use one shared account, deleting that account ends access to both applications. Upon account deletion:
- We request removal of active PingRoom device tokens from the notification service. A downstream purge failure may delay their removal.
- You will be removed from all Rooms you have joined.
- Rooms you have created may be deleted or transferred, depending on the circumstances.
- Managed Agent definitions, builder history, saved Model Provider credentials, trigger configurations, pending tool approvals, and active run state associated solely with your account will be removed from active systems; Connected Agent authorizations will be revoked. Prior run, tool, approval, usage, and delivery records may remain where the Privacy Policy or the exceptions below require it.
- Any active paid subscription must be cancelled through the Apple App Store, Google Play, or Stripe customer portal, as applicable. Deleting your account does not cancel billing or entitle you to a refund. See Section 6 (Subscriptions & Payments).
- Certain records may be retained as necessary for legal, security, fraud-prevention, backup, accounting, or compliance purposes, or to resolve disputes and enforce our agreements, in accordance with our Privacy Policy.
Effect of Termination: Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 11 (Intellectual Property), 12 (User & Agent Content; AI Outputs), 14 (Limitation of Liability), 15 (Indemnification), 17 (Governing Law), 18 (Dispute Resolution), 19 (No Guarantee of Delivery; Not for Emergency or Critical Use), 20 (Force Majeure), and 21 (Data Retention & Loss).
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles. This includes, where applicable, Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and its implementing regulations, as well as any other applicable federal and emirate-level legislation.
Any legal proceedings arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, unless otherwise required by applicable law. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection on the grounds of inconvenient forum or any other basis.
18. Dispute Resolution
Informal Resolution: Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service (“Dispute”) informally by contacting us at the address provided in Section 24. We will attempt to resolve the Dispute informally within thirty (30) days of receiving your written notice.
Mediation: If a Dispute cannot be resolved informally within the thirty (30) day period, either party may refer the Dispute to mediation administered by a mutually agreed-upon mediator in Dubai, United Arab Emirates. The costs of mediation shall be shared equally between the parties, unless otherwise agreed.
Litigation: If the Dispute is not resolved through mediation within sixty (60) days of the mediation request, either party may bring proceedings in the competent courts of Dubai, United Arab Emirates, as set forth in Section 17.
Class Action Waiver: To the fullest extent permitted by applicable law, you agree that any Dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Mindzone Technologies LLC.
Nothing in these Terms limits any non-waivable consumer right or remedy available to you under applicable law.
19. No Guarantee of Delivery; Not for Emergency or Critical Use
No Guarantee of Delivery: PingRoom is a convenience notification tool, and PingRoom Agents includes agent-configuration and model-run features. We do not guarantee that notifications, events, or outputs will be delivered, received, displayed, or acted on within a specific time or at all, or that any Managed Agent run will complete. Notifications and events may be delayed, duplicated, reordered, suppressed, or lost; outputs may be delayed, incomplete, or lost. Delivery and execution depend on factors outside our control, including APNs, FCM, Model Providers, your device, operating system, notification and battery settings, network and internet availability, and other third-party services.
Not for Emergencies or Critical Communications: PINGROOM AND PINGROOM AGENTS ARE NOT EMERGENCY COMMUNICATIONS, MEDICAL, SAFETY, OR LIFE-SAFETY SERVICES AND ARE NOT REPLACEMENTS FOR EMERGENCY SERVICES, MEDICAL ALERT SYSTEMS, SECURITY OR MONITORING SYSTEMS, OR OTHER CRITICAL INFRASTRUCTURE. YOU MUST NOT RELY ON THE SERVICE OR AI OUTPUT FOR ANY MEDICAL, HEALTH, SAFETY-CRITICAL, LIFE-SAFETY, EMERGENCY, SECURITY-CRITICAL, MISSION-CRITICAL, OR TIME-SENSITIVE USE WHERE DELAY, FAILURE, OR INACCURACY COULD RESULT IN INJURY, LOSS OF LIFE, PROPERTY DAMAGE, OR OTHER HARM. Always use established emergency services (such as 999, 112, or your local emergency number) and dedicated, purpose-built systems where appropriate. To the maximum extent permitted by applicable law, we disclaim liability arising from use of or reliance on the Service for any such purpose.
20. Force Majeure
We shall not be liable or responsible for any failure to perform, or delay in performing, any of our obligations under these Terms, or for any unavailability or interruption of the Service, caused by events or circumstances beyond our reasonable control. Such events include, without limitation: outages or failures of cloud, hosting, or infrastructure providers; outages of the Apple Push Notification service (APNs), Firebase Cloud Messaging (FCM), or Model Providers or other third-party services; internet, network, telecommunications, or power disruptions; domain name system (DNS) failures; cyberattacks, denial-of-service attacks, or other malicious activity; acts of God, natural disasters, fire, flood, or extreme weather; epidemics or pandemics; war, terrorism, civil unrest, or labor disputes; and any law, regulation, order, or other action by a government or regulatory authority.
21. Data Retention & Loss; No Backup Service
The Service is not intended to serve as your backup or archive. While we take reasonable measures to operate the Service reliably, we do not guarantee that any Content, Room, Agent Content, Managed Agent configuration, run, output, event history, or other data will be retained, preserved, or recoverable. Such data may be lost, corrupted, or deleted, including because of account deletion, subscription changes, technical failures, provider failures, or as described in our Privacy Policy.
You are responsible for retaining copies of any information you consider important. To the maximum extent permitted by applicable law, we shall not be liable for any loss of, or inability to access, Content or data.
22. Beta & Experimental Features
We may offer features identified or reasonably understood to be beta, preview, experimental, or early-access (“Beta Features”). Beta Features are provided “as is” for evaluation purposes, may contain bugs or errors, and may be modified, suspended, limited, or removed at any time without notice. Beta Features may not be subject to the same availability, security, support, or stability standards as generally available features, and any service commitments do not apply to them. Your use of Beta Features is at your own risk. Beta Features may include experimental agent, model, approval, handoff, or integration capabilities.
23. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the “Last updated” date at the top of these Terms and make reasonable efforts to notify you, which may include:
- Displaying a prominent notice within PingRoom, PingRoom Agents, or the web application.
- Sending a push notification or email to authenticated Users.
- Posting an announcement on our website at pingroom.io.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and, if applicable, delete your account.
Material changes will not apply retroactively and will become effective no earlier than fourteen (14) days after posting, except for changes addressing new Service features or legal or regulatory requirements, which may become effective immediately.
